Contract Law - Common contracts

What this page is about: Here are some examples of common contracts in employment, property, business, construction and many other areas of law. For each, the pages set out the terms you need to include when drafting the contract. There's also sample clauses for you to adapt. Some of these pages need a little work so please bear with me while they are updated.

Advance Payment Contract - usually required where, under the terms of a Contract for the supply of equipment or services, an advance payment is to be provided to meet the Contractor's mobilisation or other up-front costs (Business/Construction). 

Advertising Contract - required for use by the owner of a building or other structure who wishes to grant the right for advertisement boards or hoardings to be affixed to it (Business/Property).

Advertising Contract - Online Adverts - general terms that the publisher of a website might want to include (from their perspective) when offering online advertising space (Business).

Agency Contract - used where a manufacturer of goods in one country wants to appoint an agent in another territory on an exclusive basis for the sale of those goods. Considered from the point of view of the manufacturer.

Agency Contract (2) - used where a manufacturer or supplier of goods in one country will appoint an agent in another territory on an exclusive basis for the sale of those goods. Considered from the point of view of the Agent.

Agreement Appointing a Mediator - the clauses you must consider before drafting an agreement for the appointment of a Mediator to resolve disputes arising out of a contract which has been entered into between two parties.

Agreement Appointing a Consultant - required where a client needs to appoint an individual consultant to provide services over a fixed period.

Agreement appointing a Quantity Surveyor, Architect or Structural Engineer - the three appointments - of Quantity Surveyor, Quantity Surveyor and Structural Engineer - all follow the same basic format, and the Commentary on the various clauses covers all three Agreement (Contract)s (Construction).

Arbitration Agreement - dealing with the situation where a dispute involving three parties - employer, main contractor and one of the subcontractors - has arisen and the parties want to have a formal arrangement for the dispute(s) to be dealt with by a single arbitrator (Business/Construction).

Architect Appointment - the three model form appointments - of Architect, Quantity Surveyor and Structural Engineer - all follow the same basic format, and the Commentary on the various clauses covers all three Agreement (Contract)s. These notes are written more from the point of view of the Consultant than the Owner (Business/Construction).

Art Gallery Agreement - used for the owner of an art gallery who wants to have an exhibition of an artist's work, to be displayed at the gallery for a limited period of time. The agreement sets out the basic obligations of the Gallery Owner and the Artist as well as the commission and payment arrangements (Business).

Assignment of Lease - this page looks at an agreement for the assignment of an unregistered lease – i.e. a lease which isn't registered at the Land Registry. It is suitable for use whether or not the lease is a "new lease" under the Landlord and Tenant (Covenants) Act 1995 (Business/Property).

Authorised Guarantee Agreement - such a document is used where an outgoing tenant of a "new lease" guarantees his immediate assignee under Section 16 of the Landlord and Tenant (Covenants) Act 1995 ("LCTA 1995"). A "new lease" is a lease granted on or after 1 January 1996 (other than following an agreement entered into before that date or an order of a court made before that date) (Business/Property).

Bidding Agreement/Teaming Contract - designed to provide a framework for two companies that wish to co-operate together in a Tender for a project (Business/Construction).
